1. Eligibility and accounts

The Service is intended for Chartered Accountants, CA firms, finance professionals, and businesses using the platform in connection with lawful accounting, tax, and compliance activities in India. You must be at least 18 years old and have the authority to bind your firm or organization when registering on behalf of a business.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

2. Description of the Service

Aalekh provides cloud-based practice management and finance automation tools, including but not limited to client management, document intake, GST workflows, bank reconciliation, integrations with accounting systems (such as Tally), WhatsApp-based communication, AI-assisted features, and optional embedded financing features for eligible users.

We may update, modify, or discontinue features at any time. We will use reasonable efforts to notify account administrators of material changes that affect core workflows.

3. Subscriptions and billing

Paid plans are billed to your firm on a monthly or annual basis (currently ₹2,999 per month or ₹20,000 per year for up to 10 users, unless otherwise stated on our pricing page). Additional users beyond the included 10 are charged at ₹1,500 per user per year. The Client Portal is billed separately at ₹99 per month per client login. Applicable taxes (including GST) are additional where required by law.

• Additional users: Seats added mid-term are charged on a pro-rata basis for the remainder of the current billing period, unless otherwise agreed in writing.
• Renewal: Unless cancelled before the renewal date, subscriptions renew automatically for the selected billing period.
• Refunds: Refund and cancellation terms are set out in our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

You authorize us and our payment partners to charge your selected payment method for fees due. Failure to pay may result in suspension or termination of access.

4. Client data and your responsibilities

If you are a CA or service provider, you represent that you have obtained all necessary consents, authorizations, and contractual rights to upload, process, and manage your clients' data on Aalekh, including financial records, GSTINs, tax returns, bank information, and communications sent through the platform.

• You remain solely responsible for the accuracy of data entered or synced into the Service and for filings, payments, and compliance obligations with Indian tax and regulatory authorities.
• You must not upload unlawful, infringing, or malicious content, or use the Service to misrepresent tax positions or commit fraud.
• You are responsible for configuring user roles, access permissions, and exports within your firm.

5. Acceptable use

You agree not to:

• Reverse engineer, scrape, or attempt to gain unauthorized access to the Service or other users' data;
• Interfere with platform security, rate limits, or infrastructure;
• Use the Service in violation of applicable law, RBI guidelines (where applicable), GST or income-tax rules, or professional standards governing your practice;
• Share login credentials across unauthorized individuals or resell access without our written consent;
• Use automated scripts to abuse OTP, GST portal, or third-party integration features.

6. Third-party services and integrations

The Service may connect to third-party products and government systems (including Tally, Zoho Books, WhatsApp, email providers, payment gateways, and GST portals). Your use of those services is subject to their own terms and policies. We are not responsible for outages, API changes, or actions taken by third parties outside our control.

You grant us permission to access and process data from connected integrations solely to provide the Service you request.

7. AI and automated features

Aalekh may offer AI-assisted suggestions, document extraction, voice input, reconciliation hints, and similar automation. These features are provided to assist your workflow and do not constitute legal, tax, or accounting advice.

You must review AI-generated outputs before relying on them for filings, client advice, or financial decisions. We do not guarantee that automated results are complete, current, or error-free.

8. Intellectual property

We own the Service, software, branding, documentation, and all related intellectual property. You receive a limited, non-exclusive, non-transferable license to use the Service during an active subscription for your internal business purposes.

You retain ownership of your data and your clients' data uploaded to the platform. You grant us a license to host, process, transmit, and display that data as necessary to operate, secure, and improve the Service.

9. Confidentiality

We treat your account and client information as confidential and implement security measures described on our Security page. You agree to keep non-public information about the Service, pricing, and product roadmaps confidential where made available to you under a business relationship.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Aalekh is a software platform. We do not act as your chartered accountant, tax consultant, or legal advisor. Compliance with GST, income tax, company law, DPDP, and other obligations remains your responsibility.

11. Limitation of liability

To the maximum extent permitted by applicable law, Aalekh and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, penalties, or tax assessments arising from your use of the Service.

Our aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Aalekh in the twelve (12) months preceding the event giving rise to the claim, or ₹10,000, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Aalekh from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, infringement of third-party rights, or handling of client data without proper authorization.

13. Suspension and termination

You may cancel your subscription as described in our Refund & Cancellation Policy. We may suspend or terminate access if you breach these Terms, fail to pay fees, pose a security risk, or if required by law.

Upon termination, your right to use the Service ends. Data export and retention are handled as described in our Privacy Policy and Refund & Cancellation Policy.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction, subject to any mandatory consumer protection or data-protection remedies available under applicable Indian law.
